A news release announcing the material change described below was disseminated on June 2, 2025 through the services of Globe Newswire and was subsequently filed on the System for Electronic Document Analysis and Retrieval + at www.sedarplus.ca.

1. Summary of Material Change

On June 2, 2025, TerrAscend announced that Keith Stauffer, Chief Financial Officer of the Company (“CFO”), will be departing the Company on July 18, 2025 (the “Effective Date”). Upon the Effective Date, Alisa Campbell, the Company’s Senior Vice President, Corporate Finance & Accounting, will assume leadership of the Company’s accounting and finance function on an interim basis. A comprehensive search for a permanent CFO is underway.

1. Full Description of Material Change

On June 2, 2025, TerrAscend announced that Keith Stauffer, CFO, will be departing the Company on the Effective Date, to pursue a career opportunity outside of the cannabis industry. Mr. Stauffer will remain as CFO through the transition period. Upon the Effective Date, Alisa Campbell, the Company’s Senior Vice President, Corporate Finance & Accounting, will assume leadership of the Company’s accounting and finance function on an interim basis, reporting to Ziad Ghanem, President and Chief Executive Officer of the Company. A comprehensive search for a permanent CFO is underway.
