Item 8.01. Other Items

On March 18, 2021, Terex Corporation (“Terex”) disclosed on a Current Report on Form 8-K that it intended to enter into a new credit agreement that, among other things, would provide a new $325.0 million term loan credit facility. On March 19, 2021, Terex made a determination not to pursue a new term loan credit facility. While investors had fully subscribed for the new term loan facility, pricing was at the upper end discussed with investors. As a result, Terex has determined to not currently pursue refinancing its existing $385 million of term loans.
