At the end of last year, Ter Beke announced its intention to acquire 100% of the shares of Sigma's business in Belgium (Imperial) and the Netherlands (Stegeman) with five production plants in Belgium (Lievegem, Cornby, Amando, Dacor, Champlon) and one in the Netherlands.
After thorough preparation and pre-notification, Ter Beke Group ("Ter Beke") received the approval of the Belgian competition authorities to file the formal notification. The file with the Dutch Competition Authorities has also been submitted and is ongoing.
The closing of the acquisition is subject to the customary conditions, including final approval by the competition authorities. The decision of the authorities can take several weeks to months.
Furthermore, Ter Beke has extended its Revolving Credit Facility (RCF) with the consortium of banks for a period of two years, under the same conditions as the existing agreement. The new expiry date of the RCF is therefore 27 June 2025.
