Notification of a change in ownershipThe Management Board of Ten Square Games S.A. (the "Company") informs that today, i.e. on February 1, 2024, the Company received notifications regarding changes in the ownership of the Company's shares submitted by: Maciej Popowicz, MJP Fundacja Rodzinna w organizacji, Arkadiusz Pernal, AMP Fundacja Rodzinna w organizacji.According to the notifications received by the Company:- Mr. Arkadiusz Pernal disposed of, by way of a donation agreement of January 30, 2024, all the shares of the Company he held (i.e. 661,552 shares of the Company constituting 9.02% of the share capital of the Company, entitling to 661,552 votes at the General Meeting of Shareholders of the Company, constituting 9.02% of the total number of votes at the General Meeting of Shareholders of the Company) for the benefit of AMP Fundacja Rodzinna w organizacji (the transaction was settled on February 1, 2024);- Mr. Maciej Popowicz disposed of, by way of a donation agreement of January 30, 2024, all the shares of the Company he held (i.e. 1,322,941 shares of the Company, constituting 18.04% of the share capital of the Company, entitling to 1,322,941 votes at the General Meeting Shareholders of the Company, constituting 18.04% of the total number of votes at the General Meeting of Shareholders of the Company) for the benefit of MJP Fundacja Rodzinna w organizacji (the transaction was settled on February 1, 2024).As a result of both transactions indicated above, Arkadiusz Pernal and Maciej Popowicz do not hold directly any shares of the Company.Additionally, pursuant to Annex No. 2 to the Shareholders' Agreement of Ten Square Games S.A. of October 21, 2019 ("Shareholders' Agreement"), upon settlement of the transaction, both Foundations joined the Shareholders' Agreement. In connection with the concluded annex, the group of parties to the Shareholders' Agreement was expanded, but the total share of the parties to the Shareholders' Agreement in the total number of votes in the Company did not change.
