(the "Corporation") dated September 25, 2025, relating to the distribution of 5,366,348 common shares issuable on conversion of outstanding principal and accrued interest of 2,897 convertible debentures and 6,168,156 common shares and 6,168,156 common share purchase warrants issuable on conversion of 6,168,156 subscription receipts and 40,178,190 common shares, 5,740,286 common share purchase warrants and 8,000,000 contingent rights issuable pursuant to the share exchange agreement.
