Sub: Second Corrigendum to the Notice of Extra Ordinary General Meeting of the shareholders of Tembo Global Industries Limited(“The Company”)to be held on October 1, 2024.
This is in continuation to the Notice of the Extra Ordinary General Meeting of the Company dated September 9, 2024 (“EGM Notice”), which has already been emailed to the shareholders of the Company on September 9, 2024and the First Corrigendum dated September 23, 2024 which has been emailed to the shareholders of the Company on September 23, 2024. Second Corrigendum is being issued today to inform the Shareholders to whom the First Corrigendum and Notice of EGM has been emailed regarding changes in the Explanatory Statement. A copy of detailed Corrigendum is enclosed herewith. The said Corrigendum is also being published in the respective newspapers in Marathi and English language and also being uploaded on the website of the Company atwww.tembo.in.
Except as detailed in the attached Corrigendum, all other items of the EGM Notice along with Explanatory Statement dated September 9, 2024, shall remain unchanged.
Please note that on and from the date hereof, the EGM Notice dated September 9, 2024 shall always be read collectively with this Corrigendum and First Corrigendum dated September 23, 2024.

SECOND CORRIGENDUM TO THE NOTICE DATED SEPTEMBER 09, 2024CONVENING THE EXTRA-ORDINARY GENERAL MEETINGTO BE HELD ON TUESDAY, OCTOBER 01, 2024
An Extraordinary General Meeting (“EGM”) of the Members of Tembo Global Industries Limited (“Company”) is scheduled to be held onTuesday, October 01, 2024, at 01:00 PM (IST) through Video Conference (“VC”) / Other Audio-Visual Means (“OAVM”) (“hereinafter referred to as “electronic mode”).
The Notice of the EGM dated September 09, 2024 (“EGM Notice”) alongwith the Corrigendum Dated September 23, 2024 (First Corrigendum) was dispatched to all the shareholders of the Company, in due compliance with the provisions of the Companies Act, 2013, and rules made there under, read with circulars issued by Ministry of Corporate Affairs and Securities Exchange Board of India. This corrigendum is being issued to give notice to amend / provide clarification and additional details as mentioned herein and pursuant to the provisions of SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018.
The Company through this communication wishes to bring to the notice of the Shareholders, following changes in the said EGM Notice through this corrigendum to all the stakeholders/shareholders.
1. The name of allottee in Sr. No 44in the list of allottees as detailed in Annexure ‘A’ and in the EGM Notice shall be read as Mr. Nandan P Ganatra instead of Mr. Nandan P Ganapatra.
2. The name of allottee in Sr. No 62 in the list of allottees as detailed in Annexure ‘A’ and in the EGM Notice shall be read as Haria Enterprise instead of Haria Enterprise LLP.
3. The name of allottee in Sr. No 10 in the list of allottees as detailed in Annexure ‘A’ and in the EGM Notice shall be read as Mr. Vikas Agarwal instead of Mr. Vikas Aggarwal.
4. The name of allottee in Sr. No 83 in the list of allottees as detailed in Annexure ‘A’ and in the EGM Notice shall be read as Mr. Rohan Vimal Chaudhary instead of Mr. Rohan Chaudhary.
5. in Point No. 10 of explanatory statement of Item No. 01, Identity of the natural persons who are the ultimate beneficial owners of the shares proposed to be allotted and/or who ultimately control the proposed allottee:, Sr. no. 8 of the table shall be substituted and read as

This Corrigendum to the EGM Notice shall form an integral part of the EGM Notice, which has already been circulated to the Shareholders of the Company and on and from the date hereof, the EGM Notice shall always be read in conjunction with First Corrigendum and Second Corrigendum. This Corrigendum will be made available on website of the stock exchange i.e. NSE and on the website of the Company. All other contents of the EGM Notice and explanatory statement annexed thereto, save and except as modified or supplemented by this Second Corrigendum, shall remain unchanged.
