Telix Pharmaceuticals Completes Acquisition of TheraPharm GmbH
Melbourne (Australia) and Baar (Switzerland) – 14[th] December 2020 . Telix Pharmaceuticals Limited (ASX: TLX, ‘Telix’, the ‘Company’) today announces it has completed the acquisition of TheraPharm GmbH (‘TheraPharm’) from Scintec Diagnostics GmbH (‘Scintec’).
Having satisfied the necessary conditions for completion, which included the novation of certain intellectual property and personnel agreements, Telix has acquired all of the issued capital of TheraPharm for the final upfront consideration of EUR €10.2M (~AUD $16.5M), comprising 4,312,151 fully paid ordinary Telix shares, issued at a price of AUD $3.75 per share, based on the 10-day volume-weighted average price (‘VWAP’) of Telix shares up to and including 10[th] December 2020, and a EUR €0.2M (~AUD $0.3M) completion payment. Under the terms of the Share Sale Agreement, Scintec will have its shareholding subject to escrow for 24 months, ending 14[th] December 2022.[1]
