POSITIVE PROFIT ALERT

This announcement is made by the Company pursuant to Rule 13.09(1) of the Listing Rules.

The Board wishes to inform the shareholders of the Company and potential investors that, based on the preliminary review of the management accounts of the Group, the Group is expected to record a net profit attributable to the shareholders of the Company for the six months ended 30 September 2011 as compared to a net loss attributable to the shareholders of the Company for the corresponding period in 2010. This was mainly due to a significant gain arising from re-valuation of the fair value of the derivative component of the convertible loan notes issued by the Company.

However, if such re-valuation is excluded, the Group is expected to record a significant increase in net loss attributable to the shareholders of the Company for the six months ended 30 September 2011 as compared to the net loss incurred for the corresponding period in 2010. This was mainly due to (i) the net loss arising from the Group’s futures brokerage business; and (ii) unrealised net loss on trading of listed securities.

Shareholders of the Company and potential investors are advised to exercise caution when dealing in the shares in the Company.

This announcement is made by China Fortune Financial Group Limited (the ‘‘Company’’, together with its subsidiaries, the ‘‘Group’’) pursuant to Rule 13.09(1) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ‘‘Listing Rules’’).
