CLARIFICATION ANNUAL RESULTS ANNOUNCEMENT FOR THE YEAR ENDED 31 MARCH 2006

The board (the “Board”) of directors (“Directors”) of China Conservational Power Holdings Limited (the “Company”) refers to the announcement made by the Company dated 27 July 2006 in relation to the results for the year ended 31 March 2006.

The Board wishes to clarify that (a) in the paragraph headed “Consolidated Income Statement”, the basic loss per share for the current year should be 28.5 cents instead of 28.2 cents; (b) in Note 11 of the notes to the financial statements, the weighted average number of ordinary shares for the purposes of calculating the basic loss per share for 2006 should be 459,620,000 instead of 464,070,000; (c) in the paragraph headed “Management Discussion and Analysis – Electrical Engineering Contracting Business”, turnover from electrical engineering contacting business should account for 59.7% instead of 59.4% to the total turnover; (d) in the paragraph headed “Management Discussion and Analysis – Electrical Materials & Component Trading Business”, the external sales from electrical materials and component trading of the Group decreased by 43.6% instead of 67.8% to approximately HK$1,865,000 instead of HK$1,486,000 from HK$3,306,000 instead of HK$4,616,000 in the previous year; and (e) in the paragraph headed “Management Discussion and Analysis – Securities Brokerage and Financing Business”, the income from these operations increased to approximately HK$10,078,000 instead of HK$10,285,000 from approximately HK$5,458,000 in the last financial year, representing an increase of 84.6% instead of 88.4%.
