RE-DESIGNATION OF DIRECTOR

The board (the “Board”) of directors (“Directors”) of China Conservational Power Holdings Limited (the “Company”, together with its subsidiaries, the “Group”) announces that with effect from 12 June 2007, Ms. You Wei (“Ms. You”), the Chairman and an executive Director was re-designated as non-executive Director but remain as Chairman of the Company. Ms. You has resigned all her directorship in the Group. As one of the important roles of the chairman of the Board is to provide leadership for the Board and to ensure that the Board works effectively and discharges its responsibilities, it is believed that the chairman of the Board should not undertake an executive role in the Board. As such, the Board is of the view that the re-designation of Ms. You and her resignation from all other position with the Group will enable Ms. You to focus more on the role of leadership for the Board and enhance the efficiency of the Board.

Ms. You, aged 30, was appointed as an executive Director and the Chairman on 10 May 2006. She graduated from (Beijing) University of International Business and Economic((北京)對 外經濟貿易大學)in the People’s Republic of China (“PRC”) with a higher diploma in International Trade in 1997 and obtained her master degree in Business Administration from Auckland Institute of Studies, New Zealand in 2002. Ms. You has been working in the marketing department of a company engaged in the operation of a trading website in the PRC for over two years and has been acting as the financial investment consultant of the same company for over five years. Ms. You has also been acting as the director and general manager of an immigration consultancy company in New Zealand for over four years and has been acting as the director of a garment trading company for over two years. During the past three years, saved for her directorship in the Company, Ms. You has not held any directorship in other listed public company.

As at the date of this announcement, save as disclosed, Ms. You does not hold any other position with the Company or any of its subsidiaries. Ms. You is one of the directors and shareholders of Billion Boom Investments Limited which holds (i) 63,900,000 shares of the Company (representing 13.77% of the Company’s issued share capital); and (ii) a call option at an option price of HK$1.00 in total over 9,000,000 shares (representing approximately 1.94% of the Company’s issued share capital). Saved as Ms. You holds certain nominee shares in trust for wholly owned subsidiaries in the Group and disclosed above, she does not have any relationship with any other directors, senior management or substantial or controlling shareholders of the Company.

As at the date of this announcement, Ms. You is the owner of 1,380,000 shares (representing approximately 0.30% of the Company’s issued share capital). She and one of her family relatives are the joint owners of 300,000 shares (representing approximately 0.06% of the Company’s issued share capital). Under Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong), 74,580,000 shares (representing approximately 16.07% of the Company’s issued share capital) are attributable to Ms. You.

The Company entered into a service agreement (the “Service Agreement”) with Ms. You for a term of one year commencing from 10 May 2006 terminable by either party by giving one (1) month notice to other party and, subject to the provisions on removal, re-election and retirement by rotation in the articles of association of the Company. Ms. You is entitled to a monthly director’s fee of HK$50,000 commencing from 10 May 2006 on a 13 months basis, subject to review by the Board. Ms. You’s remuneration is determined by the Board based on the recommendation of the Remuneration Committee with reference to her academic background, qualifications, working experience.

Saved as mentioned herein, Ms. You has confirmed that there are no other matters that need to be brought to the attention of the shareholders of the Company in connection with her redesignation and there is no other information that should be disclosed pursuant to paragraph 13.51(2)(h) to (v) of the Rules Governing the Listing of Securities on the Stock Exchange.

As at the date of this announcement (taking into account the re-designation of Ms. You), the Board consists of four executive Directors, namely, Mr. Ng Khai Wain (Chief Executive Officer), Mr. Sun Tak Yan, Desmond, Mr. Ng Cheuk Fan, Keith and Mr. Yeung Kwok Leung; one nonexecutive Director, Ms. You Wei (Chairman) and three independent non-executive Directors, namely, Mr. Albert Ho, Mr. Shane Phillips and Mr. Cai Zhixu.
