CLARIFICATION ANNOUNCEMENT

APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

The board (the “Board”) of directors of China Conservational Power Holdings Limited (the “Company”) refers to the announcement made by the Company dated 28 September 2004 relating to the appointment of Mr. Loo Chung Keung, Steve as an independent non-executive director of the Company on 28 September 2004.

The Board wishes to clarify that Mr. Loo was appointed an independent non-executive director and the chairman of the audit committee of M Dream Inworld Limited (formerly known as Inworld Group Limited), a company listed on the Growth Enterprise Market of The Stock Exchange of Hong Kong Limited, on 13 December 2001 and resigned from both positions with effect from 31 January 2002. Save as disclosed herein, Mr. Loo has not held any directorship in any listed public companies in the past three years. Mr. Loo also confirmed that there is no other matters that need to be brought to the attention of holders of shares of the Company.
