CHANGES ON THE BOARD
The board of directors (the “Board”) of China Conservational Power Holdings Limited (the “Company”) announces that effective 26 November 2004: –
-
(I) Mr. Chan Tat Chee (“Mr. Chan”) was appointed as the Chairman and an executive director of the Company;

(II) Mr. Hon Ming Kong resigned as Chairman but remained as an executive director of the Company; and
-
(III) Mr. Hon Yik Kwong resigned as executive director of the Company.
INFORMATION ON THE NEWLY APPOINTED CHAIRMAN AND EXECUTIVE DIRECTOR
Mr. Chan Tat Chee, aged 58, was appointed as the Chairman and an executive director of the Company effective 26 November 2004. Mr. Chan has over 29 years of experience in garment industry and international trading. Mr. Chan is also experienced in property investment as well as retail distribution in the People’s Republic of China (“PRC”). Mr. Chan is currently an executive director of Central China Enterprises Limited (“Central China”), a company listed on the main board (the “Main Board”) of The Stock Exchange of Hong Kong Limited (the “Stock Exchange”). Mr. Chan is a substantial shareholder of Central China and deemed to be interested in approximately 36.51% of Central China. Mr. Chan also engages in the entertainment business, including film production and arranging concerts in Hong Kong, the PRC and throughout the world for Hong Kong artists. During the period from September 1994 to May 2003, he was an independent non-executive director of Oriental Union Holdings Limited (now known as Foundation Group Limited), a company listed on the Main Board of the Stock Exchange. Saved as mentioned above, Mr. Chan has not held any directorship in any other listed public companies in the last three years.
Mr. Chan is interested in about 2.6% of the issued share capital of the Company. Mr. Chan has no relation with the directors, senior management or controlling shareholders of the Company.
There is no service agreement between the Company and Mr. Chan and the appointment of Mr. Chan has no fixed term. Under the articles of association of the Company, Mr. Chan will hold the office of a director of the Company until the next annual general meeting of the Company and will be eligible for re-election. Mr. Chan is entitled to a remuneration of HK$10,000.00 per annum which is fixed by the Board having considered the experience and responsibilities of Mr. Chan in the Company. Apart from his directorship with the Company, Mr. Chan does not held any position in other members of the Group.
RE-DESIGNATION OF MR. HON MING KONG
Due to other business commitment, Mr. Hon Ming Kong resigned from the office as Chairman of the Company but remained as an executive director of the Company effective 26 November 2004.
RESIGNATION OF MR. HON YIK KWONG
Due to personal reasons, Mr. Hon Yik Kwong resigned as executive director of the Company on his own accord effective 26 November 2004. He confirmed that there is no disagreement with the Company and he is not aware of any circumstances or information that ought to be brought to the attention of the members or creditors of the Company.

The Board would like to extends its appreciation to Mr. Hon Yik Kwong for his valuable contribution during his tenure of directorship in the Company and express its warmest welcome to Mr. Chan, the new Chairman of the Company. The Board also confirmed that there are no circumstances in respect of the changes on the Board as mentioned above which they consider ought to be brought to the attention of the members of the Company.

As at the date hereof, the Board comprises nine directors of which Messrs. Chan Tat Chee, Hon Ming Kong, Lee Yu Leung, Chen Jun Nong, Pascal Ting as executive directors; and Mr. Li Yong, Alfa as non-executive director and Messrs. Fork Siu Lun, Tommy, Tsoi Wai Kwong, Loo Chung Keung, Steve as independent nonexecutive directors.
