The Response of the Supervisory Board and the Management Board of Telekom Slovenije, d.d., to Media Reports on the Appointment of a Management Board Member and Director of a Subsidiary

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and the valid legislation, Telekom Slovenije, d.d., Cigaletova 15, Ljubljana, hereby publishes the following notification:

Recently some media have stated that there are doubts about the legality of the appointment of Vida Žurga to the position of a Management Board Member of Telekom Slovenije, d.d., and Rolando Žel as the Managing Director of TSmedia, d.o.o., and Director of Antenna TV SL, d.o.o. We expressly reject any such claim.

When applying for the position of a Management Board Member of Telekom Slovenije, d.d., Vida Žurga fulfilled all the formal criteria as stated in the company’s Articles of Association. Before she was appointed by the Supervisory Board, this was also verified and vetted by the recruitment firm and Telekom Slovenije’s relevant offices.

Rolando Žel was appointed as Managing Director of TSmedia, d.o.o., and Director of Antenna TV SL, d.o.o., in accordance with the established procedures and fulfils all the conditions specified in internal policies. When appointing a director of a subsidiary, the Supervisory Board approves the nomination of the company’s Management Board.

The Management Board Member Vida Žurga also expressly rejects the allegations and claims arising from the questions published by pozareport.si on 25 September 2019.

The announcement will also be available on the company’s website (www.telekom.si) for a period of at least 5 years.
