Telekom Austria AG: Announcement According to § 93 of the Austrian Stock Exchange Act
Vienna (pta026/26.09.2012/17:20) - Vienna, 26 September 2012 - On 25 September 2012, the Telekom Austria Group (VSE: TKA, OTC US: TKAGY) has been informed by Eisenberger Herzog Rechtsanwälte GmbH on the following changes in its shareholder structure:
"On 15 June 2012 Marathon Zwei Beteiligungs GmbH (FN 322708 x), as seller, has signed a stock purchase agreement with AMOV Europe B.V, Netherlands, for the sale of 92,901,174 already issued shares, which carry voting rights, of Telekom Austria AG (FN 144477t; ISIN 0000720008) (which equates to approx. 20.97% of total shares outstanding of Telekom Austria AG).
On the basis of this agreement, 21,977,284 of already issued Telekom Austria AG shares with voting rights representing approx. 4.96% of share capital have been transferred to AMOV Europe B.V., Netherlands on 15 June 2012.
In the meantime (effective as of 18 September 2012) Marathon Zwei Beleiligungs GmbH as the transferring company was merged with Marathon Beteiligungs GmbH (FN 321123 s) as the receiving company whereas Marathon Beteiligungs GmbH is universal successor of Marathon Zwei Beteiligungs GmbH.
Furthermore, the stock purchase agreement from 15 June 2012 foresees that the remaining shares, owned by Marathon Beteiligungs GmbH (universal successor of Marathon Zwei Beteiligungs GmbH) amounting to 70,923,890 already issued shares with voting rights, which equate to approx. 16.0099% of share capital, are transferred to AMOV Europe B.V., Netherlands, as soon as all conditions precedents are fulfilled. As all conditions precedents have been met, Marathon Beteiligungs GmbH transferred 70.923.890 already issued shares with voting rights, hence approx. 16.0099% of total shares outstanding, to AMOV Europe B.V., Netherlands, as of today.
Therefore, we announce to have fallen below the thresholds of 15%, 10% and 5% according to § 91 of the Austrian Stock Exchange Act."
