Telefónica Deutschland Holding AG: America Móvil to vote in favour regarding acquisition of E-Plus by Telefónica Deutschland

Telefónica, S.A. has confirmed that América Móvil, S.A. de C.V. (major
shareholder of Koninklijke KPN NV (hereinafter, 'KPN')) has irrevocably
committed to vote in favour of the acquisition of the German mobile
business E-Plus from KPN by Telefónica Deutschland Holding AG (hereinafter,
'Telefónica Deutschland') at the Extraordinary Shareholder Meeting of KPN
on 2 October 2013.

The terms of the acquisition of E-Plus by Telefonica Deutschland will
remain unchanged: KPN is to receive 24.9% of Telefónica Deutschland and 3.7
billion Euros in cash.

In the second part of the transaction, for an aggregate consideration of
1.3 billion Euros, Telefónica, S.A. will:

(i) acquire 4.4% of Telefonica Deutschland from KPN (previously,
7.3%); and

(ii) enter into a call option agreement with KPN that will entitle
Telefónica, S.A. to acquire from KPN an additional stake of up to 2.9%
in Telefónica Deutschland, such right being exercisable one year after
such call option agreement at a strike price of up to 510 million
Euros.

Therefore, at the closing of the transaction, the stake of KPN held in
Telefónica Deutschland will amount to 20.5% (previously 17.6%) and in case
of full exercise of the call option will amount to 17.6%.

The execution of the transaction continues to require the approval of the
general meeting of KPN and Telefónica Deutschland. Furthermore the
transaction is still subject to authority approvals and other customary
closing conditions. The transaction is still expected to be closed in mid
2014.
