Our company's Board of Directors has decided to apply to the Capital Markets Board (CMB) for issuance of debt securities up to TL1,000,000,000 in nominal value with different maturities within one year, without public offering, to domestic qualified investors through sales or private placement methods; provided that necessary procedures are complied with and transactions are completed within the framework of the Capital Markets Law numbered 6362, the Regulation on Debt Instruments numbered VII-128.8, and other relevant legislation, and in accordance with Article 11 of our Company's Articles of Association. The related amount is planned to be used in financing group activities. Regarding the issuance transactions, authorization has been granted to the Presidency of Tekfen Group Companies and the Group CFO to make applications, correspondences, contracts, and similar documents and information to all kinds of official and private institutions and organizations, including but not limited to the Capital Markets Board (CMB), Borsa Istanbul, Central Securities Depository Institution, Takasbank A.Ş., and Public Disclosure Platform, for submission, organization, and signature, and to follow up on and complete all kinds of procedures and transactions at relevant authorities and offices. In this context, an application has been made to the Capital Markets Board. The English translation of this disclosure is attached hereto, and in case of any discrepancy between the Turkish and English versions, the Turkish version shall prevail.
