Agreement for the divestment of the share held in the Energy Sector

"TEIXEIRA DUARTE, S.A." hereby informs that the companies controlled 100% by it, "TEDAL – SGPS, S.A." and "Teixeira Duarte – Gestão de Participações e Investimentos Imobiliários, S.A." have entered into an agreement with "OZ Energia, S.A." for the divestment of a 50% share that these entities hold in the company "TDARCOL – Sociedade Gestora de Participações Sociais, S.A." for a price of 8.3 million euros.

The transfer is pending authorisation by the Competition Authority and the transaction will only be concluded once this authorisation is granted; it is estimated that this will occur during the first quarter of 2017.

TDARCOL is a company stake management company that owns other entities through which the Teixeira Duarte Group is acting in the Energy Sector, specifically in the area of gas.

It should be remembered that the Group divested itself of the entity through which it acted in the area of liquid fuel and lubricants in March 2015. The divestment of the stake that it holds in the entity through which it indirectly operated in the Gas area has now been confirmed, in the manner indicated above.

Upon conclusion of this operation - which will only occur once the Competition Authority has pronounced on it - the Teixeira Duarte Group will cease its operations in the energy sector, and will continue with its other six operations - Construction, Concessions and Services, Real Estate, Accommodation, Distribution and the Automotive Sectors - in the eighteen countries where it operates.
