Techstep ASA: Publication of Prospectus

Reference is made to the stock exchange notices from Techstep ASA (the

"Company") on 20 May 2021 regarding the completion of a NOK 100 million private

placement (the "Private Placement") through issuance of new shares (the "Private

Placement Shares") and on 1 July 2021 regarding the completion of the

acquisition of Famoc S.A ("Famoc"). In connection with such acquisition, the

Company issued 3,679,211 new shares as consideration to the sellers of Famoc

(the "Consideration Shares").

On 14 July 2021, the Financial Supervisory Authority of Norway approved a

prospectus in connection with the listing of the Private Placement Shares and

the Consideration Shares (the "Prospectus"). The Private Placement Shares,

currently registered on a separate ISIN, will consequently be transferred to the

ordinary ISIN of the Company and become tradable on Oslo Børs. The Consideration

Shares will be issued on the ordinary ISIN of the Company within undue delay.
