Notice of EGM

(Oslo, October 20, 2010) Please find attached the

notice of Birdstep Technology's Extraordinary General

Meeting (EGM) to be held at Hotel Continental in Oslo

on Wednesday, November 10th, 2010 at 16:30 CET. The

notice will be sent to all shareholders as registered

in VPS. Printed versions of the notice and

documentation will be available on the company's home

page www.birdstep.com.

The agenda is as follows:

1. Opening of the meeting

2. Election of chairman of meeting

3. Approval of notice and agenda

4. Election of new board members

5. Reduction of the share capital (Fractional

shares)

6. Reduction of the share capital (Reduction of

par value)

7. Reverse stock split (Increase of par value)

8. Reduction of the share premium fund

9. Authorization to the board to increase share

capital re: shared based incentive program

10. Authorization to the board to acquire own

shares

Shareholders who cannot attend the general meeting in

person may authorize the chairman of the board of

directors or another person to vote for their shares,

by filling out and returning the attached proxy to

Birdstep Technology ASA c/o DnB NOR Bank ASA,

Verdipapirservice, N-0021 Oslo, Norway, or fax to +47

22 48 11 71. Shareholders who are attending the

general meeting are encouraged to fill in and return

the attached registration letter within 8 November

2010 at the latest.

Shareholders are entitled to propose suggestions to

resolutions in the matters the general meeting is to

deal with. Shareholders are allowed to bring advisers,

and may give one adviser the right to speak.

A shareholder may demand that board members and the

CEO provide available information at the general

meeting about matters which may affect the assessment

of items which have been presented to the shareholders

for decision. The same applies to information

regarding the Company's financial position and other

business to be transacted at the general meeting,

unless the information demanded cannot be disclosed

without causing disproportionate harm to the Company.

On the date of this notice, Birdstep Technology ASA

has 71 057 977 issued shares. Every share gives the

right to one vote in the general meeting. The Company

holds 21 055 own shares on the date of this notice.

Decisions regarding voting rights for shareholders and

proxy holders are made by the person opening the

meeting, whose decisions may be reversed by the

general meeting by simple majority vote.

meeting, including this notice with attachments, the

Company's articles of association and the annual

financial statements with the annual report and the

auditor's report for 2009 is available at the

Company's premises and on its website
