Techstep ASA - notifiable transactions in connection with Private Placement

Techstep ASA - notifiable transactions in connection with Private Placement

Reference is made to Techstep ASA's ("the Company" or "Techstep") stock exchange

announcement on 29 September 2022 regarding completion of the private placement

of NOK 103 million ("the Private Placement").

In the Private Placement, Datum AS was allocated 21,739,130 new shares in the

Company. Datum AS is owned by the deputy board member Jan Haudemann-Andersen.

Following completion of the Private Placement, Jan-Haudemann Andersen indirectly

holds in aggregate 59,954,776 shares in Techstep, representing 19.67% of the

shares and votes of the Company. The shares are held through Datum AS

(58,354,776 shares) and Datum Vekst AS (1,600,000 shares). Further, Datum AS has

on 29 September 2022 entered into a share lending agreement to lend 19,492,760

shares to Arctic Securities AS and Sparebank 1 Markets AS (the "Managers") to

facilitate DVP settlement in the Private Placement.

Karbon Invest AS has been allocated 21,739,130 shares and Rugz AS has been

allocated 1,739,130 shares in the Private Placement. Following completion of the

Private Placement, chairman Jens Rugseth indirectly holds in aggregate

45,458,104 shares in Techstep, representing 14.91% of the shares and votes of

the Company. The shares are held through Karbon Invest AS (43,718,974 shares)

and Rugz AS (1,739,130 shares). Further, Karbon Invest AS has on 29 September

2022 entered into a share lending agreement to lend 19,492,760 shares to the

Managers to facilitate DVP settlement in the Private Placement.

CEO Børge Astrup was allocated 86,957 shares in the Private Placement through

his company Giraff AS. Following completion of the Private Placement, Børge

Astrup controls 1,455,363 shares in Techstep, representing 0.48% of the shares

and votes of the Company.

COO Fredrik Logenius was allocated 14,347,826 shares through the conversion of

sellers' credit. The shares are held through Stobor Invest AB, in which Fredrik

Logenius owns 50%. Following completion of the Private Placement, Fredrik

Logenius controls 23,817,225, corresponding to 7.82% of the shares and votes of

the Company.
