This Form 8-A12B hereby registers TechPrecision Corporation’s (the “ Registrant ”) common stock, par value $0.0001 per share (the “ Common Stock ”).

A detailed description of the Common Stock to be registered hereunder is set forth under the caption “Description of Securities” in Exhibit 4.1 to the Registrant's Annual Report on Form 10-K for the year ended March 31, 2022, as filed with the Securities and Exchange Commission on August 10, 2022, which description is incorporated herein by reference.
