Item 5.07 Submission of Matters to a Vote of Security Holders.

On September 10, 2019, TechPrecision Corporation (the “ Company ”) held its 2019 Annual Meeting of Stockholders (the “ Annual Meeting ”). A total of 29,254,594 shares of the Company’s common stock were entitled to vote as of July 26, 2019, the record date for the Annual Meeting, of which 22,576,672 were present in person or by proxy at the Annual Meeting. The final results for each of the matters submitted to a vote of stockholders at the Annual Meeting are as follows:

Proposal No. 1 : All of the nominees for director listed below were elected to serve for a one-year term expiring on the date of the Company’s 2020 Annual Meeting of Stockholders (and until their successors are duly elected and qualified) by the votes set forth in the table below:
