Item 2.02 Results of Operations and Financial Condition.

On June 24, 2009, Techprecision Corporation (the “Company”) announced its financial results for the fourth quarter and fiscal year ended March 31, 2009 and certain other information. A copy of the Company’s press release announcing these financial results and certain other information is attached hereto as Exhibit 99.1.

On June 22, 2009, the Company announced that it will conduct a conference call at 10:00 a.m. Eastern Time on June 25, 2009 to discuss its financial results for the fourth quarter and fiscal year ended March 31, 2009. A copy of the Company’s press release announcing this conference call is attached hereto as Exhibit 99.2.
