PRESS RELEASE
Establishment of the Nomination and Remuneration Committee and increase of the other Board of Directors Committee, with suspensive effect conditional on the start of trading of the Company's ordinary shares on Euronext Milan
Cernusco Lombardone (LC), April 11, 2023 – Technoprobe S.p.a., a company listed on Euronext Growth Milan and leader in the design and production of Probe Cards ("Company" or "Technoprobe"), hereby announces that the Board of Directors of the Company, held today, following the appointment of two new Directors, Antonella Scaglia and Paolo Enrico Dellachà, by the general shareholders' meeting held on April 6, 2023, with suspensive effect conditional on the start of trading of the Company's ordinary shares on Euronext Milan, resolved, with suspensive effect conditional on the start of trading of the Company's ordinary shares on Euronext Milan, to:
- Establish the Nomination and Remuneration Committee of the Company, composed as follow: Annachiara Svelto (President), Giulio Sirtori e Antonella Scaglia;
- increase (i) the Control and Risk Commitee with the appointment a third member, in the person of Antonella Scaglia, as President; and (ii) the Related Parties Committee with the appointment of a third member, in the person of Paolo Enrico Dellachà.
The Board of Director resolved also to appoint (i) Annachiara Svelto as lead independent director of the Company, and (ii) Stefano Beretta as officer in charge of the preparation of company accounting documents pursuant to article 154 bis TUF, with suspensive effect conditional on the start of trading of the Company's ordinary shares on Euronext Milan.
