NOTICE OF POSTAL BALLOT

(Pursuant to Section 110 of the Companies Act, 2013)

Dear Member,

NOTICE is hereby given pursuant to Section 110 read with Section 108 of the Companies Act, 2013 ( “Act” ) and other applicable provisions, if any, of the Act and Rule 20 and Rule 22 of the Companies (Management and Administration) Rules, 2014 ( “Rules” ), Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ( “SEBI Listing Regulations ”) and the Secretarial Standard on General Meetings issued by the Institute of Company Secretaries of India ( “SS-2” ), as amended from time to time, read with the General Circular Nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, and subsequent circulars issued in this regard, the latest being 09/2024 dated September 19, 2024 issued by the Ministry of Corporate Affairs ( “MCA” ) (hereinafter collectively referred to as “MCA Circulars” ) and read with Regulation 44 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended from time to time (“SEBI LODR, 2015”) and other applicable provisions if any, THAT the Resolution as set out in this Notice are proposed for approval by the Members of the Company by means of Postal Ballot and by voting through electronic means (‘remote e-voting’) only. In compliance with the MCA Circulars, hard copy of Postal Ballot Notice along with Postal Ballot Forms and pre-paid business reply envelope will not be sent to the members and members are required to communicate their assent or dissent through the remote e-voting system only.

An Explanatory Statement, pursuant to Section 102(1) of the Companies Act, 2013 and the relevant information required under Regulation 36 (3) of the SEBI (LODR) Regulations, 2015 setting out all material facts relating to the resolutions mentioned in this Notice of Postal Ballot is annexed hereto.

Pursuant to Rule 22(5) of the Rules, the Board of Directors of the Company (the “Board ”) has appointed Mr. Amarendra Kumar Rai of M/s. Amarendra Rai & Associates, Practicing Company Secretaries (M.No. F8575, CP No. ti373), as the Scrutinizer for conducting the postal ballot/evoting process in a fair and transparent manner.

Members are requested to carefully read the instruction mentioned in the Notice and record their assent (“FOR”) or dissent (“AGAINST’) on the proposed resolution through the remote e-voting process not later than 5:00 p.m. (IST) on Thursday, the 19[th] day of February, 2026 failing which it will be considered that no reply has been received from the Member.

The Company has engaged the services of National Securities Depository Limited (hereinafter referred to as "NSDL" or "Service Provider") for facilitating e-voting to enable the Members to cast their votes electronically instead of dispatching postal ballot forms. In accordance with the MCA Circulars, the Company has made necessary arrangements with M/s. Niche Technologies Private Limited, Registrar

and Share Transfer Agent ("RTA") to enable the Members to register their e-mail address. Those Members who have not yet registered their e-mail address are requested to register their e-mail address by following the procedure set out in this Notice. The postal ballot/e-voting results will be submitted within 2 (Two) working days from conclusion of the e-voting period to the stock exchanges in accordance with the SEBI Listing Regulations.

Upon completion of the postal ballot/e-voting process, the Scrutinizer will submit his report to the Chairperson/Director. The result of the postal ballot would be announced by the Chairperson or a Director or the Company Secretary of the Company on Saturday, the 21[st] day of February, 2026. The aforesaid result would be displayed at the registered office of the Company, intimated to the Stock Exchanges where the shares of the Company are listed, published in the newspapers and displayed along with the Scrutinizer’s report on the Company’s website https://www.techno.co.in.

The proposed resolution, if approved, will be taken as having duly passed on the last date specified for e-voting by the requisite majority of Members by means of Postal Ballot, i.e. Thursday, 19[th] February, 2026.

SPECIAL BUSINESS:

APPOINTMENT OF MR. SHAILESH KUMAR MISHRA (DIN 08068256), AS A NON-EXECUTIVE INDEPENDENT DIRECTOR FOR A TERM OF FIVE YEARS:

To consider and, if thought fit, to pass the following resolution as a Special Resolution :

RESOLVED THAT Mr. Shailesh Kumar Mishra (DIN 08068256), who was appointed as a Non-Executive Director in professional capacity of the Company on 10[th] November, 2023 being liable to retire by rotation, was re-appointed by the shareholders in the Annual General Meeting held on 23[rd] September, 2025 and who meets the criteria for independence as provided in Section 149(6) of the Act and Regulation 16(1)(b) of SEBI Listing Regulations and has submitted a declaration to that effect, and who is eligible for appointment as a Non-Executive Independent Director of the Company be and is hereby appointed as an Independent Director pursuant to the provisions of Sections 149, 150, 152 and other applicable provisions, if any, of the Act read with Schedule IV to the Act and the Companies (Appointment and Qualification of Directors) Rules, 2014, Regulation 17 and other applicable regulations of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ( “SEBI Listing Regulations” ), as amended from time to time for a term of five years commencing from 19[th] February, 2026 and who would not be liable to retire by rotation.

“RESOLVED FURTHER THAT the Board of Directors of the Company (which term shall be deemed to include any Committee of the Board constituted to exercise its powers, including the powers conferred by this Resolution) be and is hereby authorised to take all such steps as may be necessary, proper and expedient to give effect to this Resolution.”

  1. Ministry of Corporate Affairs (MCA) has vide its General Circular No.02/2021 dated 13[th] January, 2021 read with Circular No.20/2020 dated 5[th] May 2020, 14/2020 dated 8[th] April 2020, 17/2020 dated 13[th] April 2020, 22/2020 dated 15[th] June, 2020, 33/2020 dated 28[th] September, 2020, 3/2020 dated 31[st] December, 2020, 10/2021 dated 23[rd] June, 2021 and 20/2021 dated 8[th] December, 2021, allowed the companies to hold general meetings/conduct the Postal Ballot process, and subsequent circulars issued in this regard, the latest being 09/2024 dated 19[th] September, 2024 (collectively referred to as (“Applicable Circulars‟). Accordingly, in compliance with the provisions of the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and Applicable Circulars, the Postal Ballot is being conducted through E-Voting.

  2. The CUT-OFF date for recognizing the eligibility of members to attend and vote on Postal Ballot shall be 09[th] January, 2026. A person whose name appears in the Register of Members or in the Register of Beneficial Owners maintained by the depositories as on the Cut-Off date i.e. 09[th] January, 2026, “End of Business Hours‟ only shall be entitled to avail the facility of e-voting. A person who is not a Member on the Cut-Off date should treat this Notice for information purposes only.

  3. The relevant Explanatory Statement, pursuant to Section 102(1) of the Companies Act, 2013, is annexed hereto.

  4. The vote in this Postal Ballot cannot be exercised through proxy.

  5. Members seeking further information on any matter contained in the Notice, are requested to write to the Company from their registered e-mail addresses mentioning their names, folio numbers/DP ID and Client ID, between the period 1[st] February, 2026 to 15[th] February, 2026 through email at [email protected].

  6. In compliance with the Applicable Circulars, Notice of the Postal Ballot is being sent only through electronic mode to those Members whose email addresses are registered with the Company/RTA/ Depositories/Depositories Participants. Members may note that the Notice of the Postal Ballot will also be available on the Company’s website www.techno.co.in, websites of the Stock Exchanges i.e. BSE Limited (BSE) and National Stock Exchange of India Limited (NSE) at www.bseindia.com and www.nseindia.com respectively, and on the website of National Securities Depository Limited (NSDL) at https://www.evoting.nsdl.com.

  7. The Board of Directors of the Company has appointed Shri Amarendra Kumar Rai, Company Secretary in Practice of M/s. Amarendra Rai & Associates, as Scrutinizer to conduct the postal ballot and e-voting process in a fair and transparent manner.

  8. Institutional/Corporate shareholders (i.e. other than individuals, HUF, NRI, etc.) are required to send scanned copy (PDF/JPG Format) of the relevant Board Resolution/ Authority letter/Authorization, etc. by its Board with attested specimen signature of the duly authorized signatory(ies) who are authorized to vote, to the Scrutinizer by e-mail to [email protected]. with a copy marked to [email protected].

  9. All the documents referred to in this Postal Ballot Notice will be available for inspection electronically until the last date of e-voting. Members seeking to inspect such documents can send an e-mail to [email protected]

  10. The e-voting period commences on 21[st] January, 2026 (9:00 am) and ends on 19[th] February, 2026 (5:00 pm) . During this period Members of the Company, holding shares either in physical form or in

dematerialized form, as on the Cut-Off date of 09[th] January, 2026 (end of business hours), may cast their vote by e-voting. The e-voting module will be disabled by NSDL for voting upon the expiry of the above period. Once the vote on a resolution is cast by a Member, the Member shall not be allowed to change it subsequently or cast the vote again.

  1. The voting rights of the members shall be in proportion to their shares held in the paid-up equity share capital of the Company as on the Cut-Off Date i.e. 09[th] January, 2026.

  2. The Scrutinizer, after scrutinizing the votes cast through the postal ballot voting process and through e-voting, will make a consolidated scrutinizer’s report and submit the same to the Chairperson or a person authorized by him in writing not later than two working days from the conclusion of the e- voting process. The results declared along with the consolidated scrutinizer’s report shall be placed on the website of the Company at www.techno.co.in and on the website of NSDL at https://www.evoting.nsdl.com. The results shall be simultaneously communicated to the Stock Exchanges.

  3. Subject to receipt of requisite number of votes, the Resolutions shall be deemed to be considered as passed on the last date specified for E-Voting for the postal ballot voting process i.e. Thursday, 19[th] February, 2026.

  4. The Company has engaged the services of M/s. National Securities Depository Limited (NSDL) as the Agency to provide e-voting facility.

ANNEXURE TO NOTICE

EXPLANATORY STATEMENT AS REQUIRED BY SECTION 102 OF THE COMPANIES ACT, 2013 (“ACT”)

The following statement sets out all material facts relating to the resolution to be passed as mentioned in the accompanying Notice.

Mr. Shailesh Kumar Mishra (DIN: 08068256) was appointed as Non-Executive Director of the Company by the shareholders on 26[th] September, 2024 and was Re-appointed by rotation at the Annual General Meeting held on 23[rd] September, 2025. Now, it is proposed to appoint him as an Independent Director for a term of five years commencing from 19[th] February, 2026, not liable to retire by rotation, subject to the approval of the Members by way of a Special Resolution.

Mr. Mishra has over 40 years of experience in power sector and has been associated with reputed organisations like NTPC, POWERGRID, SECI etc. at various positions and contributed towards innovation, quality, corporate strategy and planning etc. His skills, competence and expertise in understanding of Power Sector, including Renewable Energy segment, shall be beneficial to the Company.

The Company has received a declaration from him to the effect that he meets the criteria of independence as provided in Section 149(6) of the Act and Rules framed thereunder and Regulation 16(1)(b) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ( “SEBI Listing Regulations ”). In terms of Regulation 25(8) of SEBI Listing Regulations, he has confirmed that he is not aware of any circumstance or situation which exists or may be reasonably anticipated that could impair or impact his ability to discharge his duties. He has also confirmed that he is in compliance within Rules 6(1) and 6(2) of the Companies (Appointment and Qualification of Directors) Rules, 2014, with respect to the registration with the data bank of Independent Directors maintained by the Indian Institute of Corporate Affairs. He has also confirmed that he is not disqualified from being appointed as Director, in terms of the provisions of Section 164 of the Act and is not debarred to hold the office of a Director by virtue of any order passed by SEBI or any other authority and has given his consent to act as a Director of the Company. There is no inter se

relationship between him and any other member of the Board and other Key Managerial Personnel of the Company.

In the opinion of the Board, Mr. Shailesh Kumar Mishra is a person of integrity, fulfils the conditions specified in the Act and the Rules made thereunder read with the provisions of the SEBI Listing Regulations, each as amended, and is independent of the management of the Company.

The terms and conditions of his appointment are available for inspection by the Members at the Corporate Office of the Company during business hours on all working days, until the last date of remote e-voting.

Brief profile of Mr. Shailesh Kumar Mishra is as follows:

Mr. Shailesh Kumar Mishra has over Four decades of experience in Power Sector. As Director in SECI, made a significant changes and innovations in various product of renewables. Oriented SECI from being just a facilitator to asset-based organization (Rs.10,000 Cr identified projects) for long term sustainability with under implementation projects of Rs.8000 Cr. New initiatives like Renewable Hybrid model, floating solar, Renewables with peaking power, Load following RE Model, Round the clock renewables, Storage as transmission element and Make-in-India manufacturing linked solar projects. Significant changes initiated in Quality control and Accreditations, Regulatory and Monitoring Framework, Tendering Systems, Works and Procurement Policy, Corporate Governance etc., implemented best practices in short span of time for organization and sectorial development.

As ED (CMD Coordination Cell/ QA&I), head of Corporate Strategy/ Quality and facilitated the organization through timely intervention in Marketing/ Consultancy/ Telecom/ Regulator and Commercial/ HR policies/ Financial control, Operations and Project Implementation etc., to achieve unprecedented growth. During the three years, organization posted total 78,600 Cr Revenue (20% CAGR), 21,800 Cr Profit (18% CAGR), 72,800 Cr Capex and added 87,600 Cr Fixed Assets (26% CAGR), highest in organization history. Telecom (30% CAGR) and Consultancy (20% CAGR) also posted remarkable growth in revenue.

The details of directorship held by Mr. Shailesh Kumar Mishra in other companies and other details are given in the Annexure to this Notice. In compliance with the provisions of Section 149 read with Schedule IV to the Act and Regulations 17 and 25 of SEBI Listing Regulations and other applicable Regulations, the appointment of Mr. Shailesh Kumar Mishra as Non-Executive Independent Director is now being placed before the Members for their approval by way of a Special Resolution. The Board recommends the Special Resolution as set out in this Notice for approval of the Members.

Except Mr. Shailesh Kumar Mishra and his relatives, none of the Directors and Key Managerial Personnel of the Company and their respective relatives is, in any way, concerned or interested, in the Resolution as set out in this Notice.

- How do I vote electronically using NSDL e Voting system?

The way to vote electronically on NSDL e-Voting system consists of “Two Steps” which are mentioned below:

General Guidelines for shareholders

  1. Users who have opted for CDSL Easi / Easiest facility, can login through their existing user id and password. Option will be made available to reach e-Voting page without any further authentication. The users to login Easi / Easiest are requested to visit CDSL website www.cdslindia.com and click on login icon & New System Myeasi Tab and then user your existing my easi username & password.

  2. After successful login the Easi / Easiest user will be able to see the e-Voting option for eligible companies where the evoting is in progress as per the information provided by company. On clicking the evoting option, the user will be able to see e-Voting page of the e-Voting service provider for casting your vote during the remote e-Voting period.
