Dear Sir,

Further to the earlier intimation dated October 30, 2018, the Company Scheme Application was tiled with the Hon'ble NCLT, Mumbai Bench for approving the proposed scheme of Merger by Absorption between Tech Mahindra Growth Factories Limited (Transferor Company), ^a wholly owned subsidiary company with Tech Mahindra Limited (Transferee Company) pursuant to the provisions ofSection 230 to 234 ofthe Companies Act, 2013.

In this connection. we wish to inform you that in view ofbusiness exigency, the said application has been withdrawn on Friday, 15m February, 2019.

We would like to inform that the National Company Law Tribunal ("NCLT"), Mumbai Bench has today approved the withdrawal of the said Scheme. The copy of the Order of NCLT is awaited.

We request you to take the above on record and disseminate the same on the exchange's website at the earliest.
