Sub: Allotment of Equity Shares under TDPSL Equity Based Compensation Plan 2019

The Nomination and Remuneration Committee of the Board has, by a resolution passed today i.e. June 25, 2021 approved allotment of 49,346 Equity Shares Rs.10/- each, at par, pursuant to the exercise of employee stock appreciation rights (ESAR) under TDPSL Equity Based Compensation Plan 2019.

Consequent to the aforesaid allotment, the paid-up share capital of the Company stands increased from Rs.30,93,34,140/- (3,09,33,414 Equity Shares face value of Rs.10/- each) to Rs.30,98,27,600/- (3,09,82,760 Equity Shares face value of Rs.10/- each).

In terms of Regulation 10(c) of the SEBI (Share Based Employee Benefits) Regulations, 2014, the details of shares allotted as above are given as Annexure A to this letter.

] Please consider this as intimation in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, regarding the exercise of ESAR's & allotment of Shares thereof in terms of the TDPSL Equity Based Compensation Plan 2019. Please take the above on record.
