Re:-Re-appointment of Non Executive Independent Directors

This is further to our letter dated 11.02.2019 intimating you the approval by the Board of Directors of the Company for re-appointment of Mr. Atul Sud, Mr. Sudhir Merchant and Mr. Rabindra Jhunjhunwala as Non-Executive and Independent Directors of the Company for second term of five years commencing from 01.04.2019 to 31.03.2024, subject to passing of necessary special resolution and our letter dated 27.03.2019 intimating you about declaration of results of Postal Ballot whereat Mr. Atul Sud, Mr. Sudhir Merchant and Mr. Rabindra Jhunjhunwala have been re-appointed as Non Executive Independent Directors of the Company, by the members of the Company by passing necessary Special Resolution for second term of five years commencing from 01.04.2019 to 31.03.2024.

While noting the aforesaid, we also request you to note that as intimated to you vide our letter dated 11.02.2019 that Mrs. Sonal Agarwal, who held the Office of Independent Director upto 31.03.2019 has not offered for re-appointment from 01.04.2019 due to personal reasons. As such she has ceased to be Independent Director of the Company w.e.f. from 01.04.2019.
