Re:-Intimation of Comments made by Board of Directors on Compliance with the requirement of Composition of the Board

This is to inform you that the matter related to non-compliance with the requirements pertaining to composition of Board under Regulation 17 of Listing Regulations and fine imposed by the Stock Exchanges (BSE & NSE) for the same, was placed before the Board at its meeting held today i.e. 12.11.2019.

The Board was also informed that Mrs. Deepa Harris was inducted as Additional Director to hold the Office of Independent Director on 02.08.2019 and her appointment as such was also ratified by the Members of the Company at the 31[st] Annual General Meeting held on 13.09.2019 and now the Board is compliant with Regulation 17 of the Listing Regulations.

The Board considered the matter and took note of the same.
