Notification of transactions by Persons Discharging Managerial Responsibilities
Tate & Lyle PLC (the 'Company') announces that a grant of awards over the Company's ordinary shares of 29 1/6 pence each in the capital of the Company ('Shares') was made on 3 August 2022 under the Tate & Lyle Performance Share Plan 2020 ('PSP') and the Tate & Lyle Group Bonus Plan 2011 ('GBP') in respect of the year ended 31 March 2022 to Persons Discharging Managerial Responsibilities ('PDMR') as detailed in the table below:

Awards under the PSP and GBP are structured as conditional awards. Awards granted under the PSP will only vest to the extent that certain performance criteria are satisfied by the Company over a three-year performance period which runs from 1 April 2022 to 31 March 2025. Further information on the operation of the GBP is provided in the Annual Report 2022. No consideration is payable for the grant of the awards under the PSP or GBP.
The Company additionally announces that in accordance with the remuneration arrangements relating to the recruitment of Dawn Allen, Chief Financial Officer, as announced on 9 February 2022, a grant of nil-cost conditional awards over the Company's Shares was made to Dawn Allen on 3 August 2022 as follows:

Award A will only vest to the extent that certain performance criteria are satisfied by Ms. Allen. Award B is subject to the performance conditions that apply to awards made under the Tate & Lyle 2020 PSP and will only vest to the extent that these performance conditions are satisfied by the Company over a three-year performance period which runs from 1 April 2021 to 31 March 2024. These awards are governed by an Award Deed dated 3 August 2022 and the rules of the PSP.
Further to the announcements above, the Company announces that on 3 August 2022, Alison Hampton, a Person Closely Associated to Nick Hampton, Chief Executive, transferred 17,142 Shares to Nick Hampton as a gift.
The notifications below, which have been made in accordance with the requirements of the Market Abuse Regulation, provide further detail.
