Subject: Intimation regarding appointment of Secretarial Auditor

Pursuant to Regulation 30 read with Schedule III, Part A, Para A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that based on the recommendation of the Audit Committee, the Board of Directors of the Company in their meeting held today has approved the appointment of J B Bhave & Co., Company Secretaries as Secretarial Auditors of the Company for Audit period of five consecutive years commencing from FY 2025-26 till FY 2029-2030, subject to approval of the shareholders of the Company at the ensuing Annual General Meeting.

The details under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read along with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 are given as Annexure ‘A’.

Mr. Bhave holds a Bachelor of Commerce degree fromUniversity of Pune and a professional degree of CompanySecretary from The Institute of Company Secretaries of India(ICSI). He is registered as a Fellow Member of ICSI (FCS 4266).He also possesses a degree in Law from University of Pune andholds a Diploma in Industrial Relations and PersonnelManagement.Mr. Bhave’s experience spans over more than 30 years in thecorporate legal field. He has worked in organizations withbusiness interests as diverse as banking and manufacturing,most of which are listed on the Stock Exchanges. At presentMr. Bhave is serving a large and diverse client base rangingfrom manufacturing, engineering, information technology,pharmaceuticals, to hotels & catering, agriculture, investmentconsultancy, cosmetics etc. and includes both, listed as well asunlisted companies. He is servicing many companies which arein top 100, 500 and 1000 in the BSE and NSE.His firm is peer reviewed twice, first in 2016 and secondly inApril 2021. He is a Peer Reviewer himself and has conductedpeer reviews of many other PCS firms.
