Subject: Intimation regarding re-appointment of CEO and Managing Director
Pursuant to Regulation 30 read with Schedule III, Part A, Para A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company in their meeting held today has approved the re-appointment of Mr. Warren Kevin Harris (DIN: 02098548) as CEO and Managing Director of the Company for a term of 3 years and 6 months with effect from September 9, 2024 to March 8, 2028, subject to approval of the shareholders.
The details under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read along with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 are given as Annexure ‘A’.

| Brief Profile (in case of appointment) | Mr. Warren Kevin Harris, 61, is the CEO and Managing Directorof the Company. He has been associated with the Companysince October 1, 2005. Mr. Harris was initially appointed as theChief Executive Officer and Managing Director of the Companyfor a period of five years with effect from September 9, 2014,pursuant to resolutions passed by the Board and Shareholderson September 8, 2014 and December 6, 2014, respectively, andemployment agreement dated December 8, 2014 entered intobetween the Company and him. Subsequently, he was re-appointed as the Chief Executive Officer and ManagingDirector of the Company for a period of five years with effectfrom September 9, 2019, pursuant to resolutions passed by theBoard and Shareholders on May 7, 2019 and July 19, 2019,respectively, and employment agreement dated July 19, 2019entered into between the Company and him.Mr. Warren Kevin Harris holds a bachelor’s degree inengineering (technology) from the University of Wales Instituteof Science and Technology, the University of Wales. He holds adoctorate in philosophy (honoris causa) from Amity University,Uttar Pradesh. He has completed the advanced managementprogramme from Harvard Business School.
