Sub: Intimation under Regulation 30 of SEBI Listing Regulations - Change in Directorate

The Board of Directors of Tata Elxsi Limited (“Company”) at its Meeting held today i.e., April 03, 2024, based on the recommendation of the Nomination and Remuneration Committee considered and unanimously approved the following change in Directorate, subject to the approval of the Members of the Company:

• a. Appointment of Ms. Ashu Suyash (DIN: 00494515) as Additional Director (Non-Executive Independent Director) of the Company for a period of 5 (five) years with effect from April 4, 2024 until April 3, 2029.

• b. Appointment of Mr. Soumitra Bhattacharya (DIN: 02783243) as Additional Director (Non-Executive Independent Director) of the Company for a period of 5 (five) years with effect from April 4, 2024 until April 3, 2029.

The profiles of Ms. Ashu Suyash and Mr. Soumitra Bhattacharya are included as Annexure A and B respectively.

In accordance with BSE circular no. LIST/COMP/14/2018-19 and NSE circular no. NSE/CML/2018/24, dated June 20, 2018, it is hereby confirmed that Ms. Ashu Suyash and Mr. Soumitra Bhattacharya are not debarred from holding office of Directors by virtue of any order passed by Securities and Exchange Board of India or any other authority. Further, there is no inter-se relationship between Ms. Ashu Suyash and Mr. Soumitra Bhattacharya and any other member of the Board.

Profile of Ms. Ashu Suyash:

Ms. Ashu Suyash is a successful leader with over 33 years of experience in Indian financial services and the global information services sector. As CEO, she led Indian and multi-national businesses, set up several new businesses, managed and grown complex regulated businesses, and driven transformation and change. She has recently set up Colossa Ventures and is an Independent Director on the Boards of Hindustan Unilever, Kotak Mahindra Bank and National Institute of Securities and Capital Markets. She was the Managing Director & CEO of CRISIL Limited.

Ms. Suyash played a pivotal role in enabling CRISIL regain its Ratings Leadership position and transform to become a Global analytics company through widescale adoption of technology. She led CRISIL’s growth through acquisitions in a very challenging environment. Prior to her role as CEO and MD at CRISIL, Ms Suyash worked with reputed financial organisations - L&T Financial Services Group, Fidelity International and Citibank.

She has strong business acumen and experience spanning banking, capital markets, investment management, wealth management, ratings, research and analytics. Having managed P&Ls, large global teams and led M&A, she brings sharp insight on strategy, portfolio management, people, finance, stakeholder management, risk and regulatory affairs.

She is a Chartered Accountant from the Institute of Chartered Accountants of India and completed her Bachelor’s Degree in Commerce from the University of Mumbai.

Annexure B

Profile of Mr. Soumitra Bhattacharya

Mr. Soumitra Bhattacharya’s career spans 39 years of professional experience in the Corporate World. He has been associated with the Bosch Group for more than 28 years. He served as the Managing Director of Bosch Ltd., and Regional President for the Bosch Group in India and retired on 30[th] June 2023. Prior to Bosch Ltd., from 1984 to 1995 he served in various key management positions at TATA Steel (IPITATA), INDAL (Indian Aluminium Company Ltd.,) and one of the founding members for Tanishq of Titan Company Limited.

He has led as chair of the CII (Confederation of Indian Industry) National Committee on MNCs since 2020 till 2023 and done stints as Chairman (2013-2014) for the Karnataka State Council for CII in India and as Co-Chair (2017-2019) for Skills Committee-CII at the National Level and as a CII National Council Member, has been able to further share his passion for business excellence, building agile corporate environments, economics, and finance.

Since July 2023 Mr. Bhattacharya has taken up the role of CEO and Director for IFQM an industry led initiative focused on Quality, Excellence and Innovation. Currently he serves as Chairman of Bosch Limited (since 2[nd] August 2023) and Independent Director of Asian Paints Limited (since 26[th] October 2023).

He is a Chartered Accountant by profession from The Institute of Chartered Accountants of India. Completed his Bachelor of Commerce, Accounting & Finance, from Kanpur Vishwavidyalay, Kanpur, U.P.
