Sub: Intimation under Regulation 30 of SEBI (Listing Obligations & Disclosure Requirements) Regulations 2015
Pursuant to the provisions of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, please be informed that a Merger Proposal of Tata Communications MOVE B.V. and Tata Communications MOVE Nederland B.V., wholly-owned indirect subsidiaries of the Company with their immediate parent company i.e., Tata Communications (Netherlands) B.V., wholly-owned indirect subsidiary of the Company, has been filed today with the Dutch Chamber of Commerce.
The proposed merger shall result in transfer of all assets and liabilities of the disappearing / transferor companies (i.e., Tata Communications MOVE B.V. and Tata Communications MOVE Nederland B.V.) to the surviving / transferee company (i.e., Tata Communications (Netherlands) B.V.) under the universal succession of title and applicable provisions of the Dutch Civil Code and the disappearing / transferor companies shall cease to exist thereafter.
The proposed merger is subject to receipt of requisite regulatory confirmations in The Netherlands.
