Sub: Intimation under Regulation 30 of SEBI (Listing Obligations & Disclosure Requirements) Regulations 2015 – Update on Merger Proposal filed by indirect wholly-owned subsidiaries
We refer to our letter no. HQ/CS/CL.24B/17674 dated March 28, 2024, regarding filing of a Merger Proposal of Tata Communications MOVE B.V. and Tata Communications MOVE Nederland B.V., (disappearing/ transferor companies) wholly-owned indirect subsidiaries of the Company with their immediate parent company i.e., Tata Communications (Netherlands) B.V., (surviving/transferee company) wholly-owned indirect subsidiary of the Company with the Dutch Chamber of Commerce.
It is hereby informed that the notarial deed of merger between disappearing/transferor companies and surviving/transferee Company is executed today i.e. May 31, 2024 and the same will become effective on June 01, 2024, as a result of which, the disappearing companies will cease to exist and all assets and liabilities of the disappearing companies will be passed, under universal succession in title, to the surviving company.
