Sub: Sanction of Scheme of Merger by Absorption under Section 234 read with Section 230 – to Section 232 of the Companies Act, 2013 of Bio Energy Venture 1 (Mauritius) Pvt. Ltd (Transferor Company) by Tata Chemicals Limited (Transferee Company) and their respective shareholders

This is to inform you that the Hon'ble National Company Law Tribunal ('NCLT'), Mumbai Bench (hearing convened through Video Conferencing), vide its Order dated April 23, 2020, sanctioned the Scheme of Merger by Absorption, under Section 234 read with Section 230 to Section 232 of the Companies Act, 2013, of Bio Energy Venture – 1 (Mauritius) Pvt. Ltd (a 100% subsidiary of the Company) by Tata Chemicals Limited.

The Order is subject to the approval of the appropriate regulatory authority at Mauritius.

The certified copy of the Order from NCLT, Mumbai Bench is awaited. The Scheme will be made effective upon filing of the certified copy of the Order with the Registrar of Companies, Mumbai, Maharashtra.

This disclosure is made pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and will also be made available on the website of the Company.
