Dear Shareholder
TARUGA MINERALS LIMITED – GENERAL MEETING
Taruga Minerals Limited (ASX: TAR, Taruga or the Company ) will hold a General Meeting of its shareholders ( Shareholders ) on Wednesday, 25 February 2026 commencing at 2:00pm (WST) at Minerva Corporate, Level 8, 99 St Georges Terrace, Perth WA 6000 (the Meeting ).
In accordance with the Corporations Act, notice of the Meeting ( Notice ) is being made available to Shareholders by electronic means and the Company will not be dispatching physical copies of this Notice, unless a Shareholder has elected to receive documents in hard copy. Instead, the Notice can be viewed and downloaded via:

the Company’s website at: https://tarugaminerals.com.au/asx-announcements/;

via the Company’s ASX page at: https://www2.asx.com.au/markets/company/tar; and

if you have nominated an email address and have elected to receive electronic communications from the Company, via the electronic link that is sent to your nominated email address.
Proxy votes may be lodged in accordance with the instructions set out in the Proxy Form. Proxy Forms must be received by 2.00pm (WST) on Monday, 23 February 2026. Any proxy voting instructions received after that time will not be valid for the Meeting.
The Notice and the accompanying Explanatory Memorandum should be read in its entirety. If a shareholder is in doubt as to how to vote, that shareholder should seek advice from an accountant, solicitor or other professional adviser prior to voting.
Shareholders may submit questions in advance of the Meeting by email to the Company Secretary at [email protected] by 5.00pm (WST) on Monday, 23 February 2026. Shareholders who attend the Meeting will also have the opportunity to submit questions during the Meeting.
