Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure - Requirements) Regulations, 2015 Conversion of 6,95,000 Fully convertible Warrants into Equity Shares pursuant to the exercise of fully convertible warrants allotted on a preferential basis:

This is in continuation to our intimation dated 28[th] March, 2023 regarding the Allotment of 21,20,000 (Twenty-One Lakhs Twenty Thousand) Fully Convertible Warrants (“Warrants/Convertible Warrants”) at an issue price of Rs. 72/- (Rupees Seventy Two Only) having face value Rs. 10/- (Rupees Ten Only) and at a premium of Rs. 62/- (Rupees Sixty Two Only) each convertible into an equivalent number of Equity Shares.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that the 16 (Sixteen) of the said warrant holders have applied for conversion of Fully Convertible Warrants into Equity Shares along with payment of the remaining exercise price of Rs. 54/- per Warrant being 75% of the issue price (Rs. 72/-) per warrants. Consequently, the Board of Directors by way of circular resolution have approved the conversion of the said warrants into equity shares to the warrant holders.

The said Circular Resolution was approved by the Board of Directors on 27th February, 2024 around 08:12 pm (IST)

In this regard, the details pursuant to Schedule III Part A of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 are enclosed herewith.
