On December 23, 2020, Taoping Inc. (the “Company”) filed Amended and Restated Memorandum and Articles of Association with the Registrar of Corporate Affairs in the British Virgin Islands. As previously reported, on December 22, 2020, the Company held an annual shareholder meeting at which, among others, the shareholders of the Company approved an amendment to the Company’s Memorandum and Articles of Association to remove the requirement of holding an annual meeting of shareholders every year.

A copy of the filed Amended and Restated Memorandum and Articles of Association is attached as Exhibit 99.1 hereto and incorporated by reference herein.
