As previously disclosed in the Report on Form 6-K dated as of September 19, 2017, at the Companys 2017 Annual Meeting of Members, the shareholders of China Information Technology, Inc. (the Company) approved an amendment to the Companys Memorandum and Articles of Association to remove the par value of the Companys ordinary shares. On October 12, 2017, the Company filed an amended and restated Memorandum and Articles of Association (the Amended and Restated M&A) with the Registrar of Corporate Affairs in the British Virgin Islands, pursuant to which the par value per share of the Companys ordinary shares has been removed.
In addition, as it has regained compliance with the minimum bid price requirement for continued listing on NASDAQ Capital Market, the Company decided not to effect a reverse stock split of its ordinary shares at this time.
The Amended and Restated M&A is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
