This is to inform you that Karix Mobile Private Limited, an Indian wholly owned subsidiary of Tanla Platforms Limited (“Tanla” or “Company”) has incorporated a subsidiary, Karix Mobile LLC, at Kingdom of Saudi Arabia.

The details as required under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, are given in Annexure A to this letter.

a)	Name of the target entity, details in brief such as size, turnover etc.	Karix Mobile LLC is incorporated at Kingdom of Saudi Arabia, on June 19, 2025, as a subsidiary of Karix Mobile Private Limited, an Indian wholly owned subsidiary of Tanla Platforms Limited (“Tanla” or “Company”). Subscribed share Capital- SAR 350,000 Turnover: Not applicable, as - Karix Mobile LLC is a newly incorporated company.
b)	Whether the acquisition would fall within related party transaction(s) and whether the promoter/ promoter group/ group companies have any interest in the entity being acquired? If yes, nature of interest and details thereof and whether the same is done at “arm’s length”	The initial subscription of SAR 350,000 (Saudi Riyal- 350,000 only) by Karix Mobile Private Limited towards the share capital of Karix Mobile LLC does not constitute a Related Party Transaction for the Company. Following its incorporation, Karix Mobile LLC has become a step-down subsidiary and consequently a Related Party of the Company. The promoter/promoter group/group companies of the Company do not have any interest in Karix Mobile LLC, except as mentioned above.
c)	Industry to which the entity being acquired belongs	Karix Mobile LLC will operate in the CPaaS (Communication Platform as a Service) sector facilitating seamless connectivity between businesses and consumers.
d)	Objects and effects of acquisition (including but not limited to, disclosure of reasons for acquisition of target entity, if its business is outside the main line of business of the listed entity)	Karix Mobile LLC has been strategically incorporated to spearhead and extend its business operations in Kingdom of Saudi Arabia. This expansion aims to tap into the dynamic markets in Kingdom of Saudi Arabia, leveraging Karix's expertise and innovative solutions to meet the evolving communication needs of the MiddleEastregion.
