Sub: Update regarding buyback of not exceeding 1,90,12,345 fully paid-up equity shares of face value of INR 1/- each (the “Equity Shares”) of Tanla Solutions Limited (the “Company”) at a price of INR 81/- per Equity Share through the tender offer process, pursuant to the provisions of the Securities and Exchange Board of India (Buy-back of Securities) Regulations, 2018, as amended and the Companies Act, 2013, as amended (“Buyback”) – Broadcast of advertisement regarding the tendering period
This is in continuation to our intimation dated July 2, 2020 whereby we had informed the stock exchanges that pursuant to the SEBI circular bearing reference number SEBI/CIR/CFD/DCR1/CIR/P/2020/83 dated May 14, 2020, where certain relaxations were granted relating to procedural matters for takeovers and buybacks (“ Relaxation Circular ”), we had published advertisements on certain websites regarding the Buyback.
This is to inform you that pursuant to the Relaxation Circular, the Company has also made revised advertisements (attached as Annexure 1) providing the details of the Buyback on the following websites:
