F1: Mr. Tanger contributed the shares to Regnat, LLC whose sole memeber is the Steven B. Tanger 2011 Family Trust, an irrevocable Trust of which he is a beneficiary, but of which he is not the trustee or investment advisor and therefore he has no investment control over the shares indirectly held by the trust. Accordingly, Mr. Tanger is not deemed to be the beneficial owner of such shares.

F2: These securities are held by the Tanger 2012 Hancock Insurance Trust, of which Mr. Tanger and his sister, Susan Nehmen, are co-trustees. The beneficiaries of the trust are the grandchildren of Stanley and Doris Tanger, Mr. Tanger's parents. As such, Mr. Tanger disclaims beneficial ownership of these securities.
