Further to our Communication on 04th September 2023 uploading the Annual Report along with Notice to Shareholders for the 49[t] h Annual General Meeting to be held through Video Conference ('VC') & Other Audio-Visual Means ('OA VM') deemed to be held the Register Office at No.14, SIPCOT Industrial Complex, Kudikadu, Cuddalore - 607 005 in accordance with the relevant circulars issued by the Ministry of Corporate Affairs, Government of India and the Securities and Exchange Board oflndia will be held on Wednesday, the 271h September 2023 @ 11.30 A.M, we would like to confirm the following once again:

The Register of Members and Share Transfer Books of the Company will remain closed from Thursday, 2l51 September, 2023 to Wednesday, 271h September, 2023 (both days inclusive) for the purpose of convening the 49th Annual General Meeting for the year 2022-23.

Further, we wish to intimate that in terms of Section 108 of the Companies Act, 2013, Rule 20 of the Companies (Management and Administration) Rules, 2014 as amended by the Companies (Management and Administration) Amendment Rules, 2015 and Regulation 44 of the SEBI (LODR) Regulations, 2015, the Company shall provide to its members the facility to exercise their votes electronically for transacting the items of business as set out in the Notice convening the ensuing Annual General Meeting of the Company.

For the aforesaid purpose, the company has fixed Wednesday, 20[th ] September, 2023 as the cutoff date to determine the entitlement of voting rights of members for e-voting and payment of Dividend of 65% i.e., Rs.6.50/- per equity share of face value of Rs. I 01- each for the financial year 2022-23. Dividend, if declared, will be paid to eligible shareholders on or before 24[th ] October 2023.

The Company had entered into an arrangement with Central Depository Services Limited (CDSL) for facilitating e-voting through their e-voting platform.

Mrs. Kalyani Srinivasan, a Practicing Company Secretary has been appointed as scrutinizer for conducting e-voting process.
