Tamburi Investment Partners S.p.A. ("TIP" – MI), con riferimento ai "Warrant Azioni Ordinarie TIP S.p.A. 2015 – 2020", codice ISIN n. IT0005121444 (i "Warrant"), comunica che si è concluso il Quinto ed ultimo Periodo di Esercizio con un esercizio complessivo di oltre il 97% dei Warrant 2015/2020.

Nel corso del Quinto Periodo di Esercizio sono stati esercitati n. 12.376.567 Warrant e verranno conseguentemente sottoscritte n. 12.376.567 azioni ordinarie Tamburi Investment Partners S.p.A. di nuova emissione (nel rapporto di 1 azione ordinaria TIP ogni Warrant esercitato) al prezzo di euro 5,41 (cinque virgola quarantuno) ciascuna, ammesse alla quotazione sul Mercato Telematico Azionario organizzato e gestito da Borsa Italiana S.p.A., prive dell'indicazione del valore nominale, aventi godimento regolare e le medesime caratteristiche delle azioni ordinarie TIP in circolazione alla data di emissione (le "Azioni di Compendio").

A seguito di tali sottoscrizioni l'aumento di capitale relativo al Quinto Periodo di Esercizio (comprensivo di sovrapprezzo) è pari a 66.957.227,47 euro ed il capitale sociale di Tamburi Investment Partners S.p.A. risulta pertanto pari ad euro 95.877.236,52 rappresentato da n. 184.379.301 azioni ordinarie prive del valore nominale.

I 365.201 Warrant non esercitati entro il termine ultimo del 30 giugno 2020 sono decaduti da ogni diritto, divenendo privi di validità ad ogni effetto.

Ai sensi del Regolamento dei Warrant, l'esercizio dei Warrant avrà effetto, e pertanto le Azioni di Compendio saranno emesse, entro il decimo giorno di Borsa aperta a decorrere dalla scadenza del Quinto Periodo di Esercizio.

raised additional 67 million

With reference to the "TIP S.p.A. 2015 – 2020 Ordinary Shares Warrants", ISIN code n. IT0005121444 (the "Warrants") Tamburi Investment Partners S.p.A. ("TIP" – MI) announces that the Fifth and last Exercise Period has ended with the exercise of more than 97% of the Warrant 2015/2020.

No. 12,376,567 Warrants were exercised in the Fifth Exercise Period, with consequent subscription of no. 12,376,567 newly-issued Tamburi Investment Partners S.p.A. ordinary shares at the price of Euro 5.41 (five point forty one) each (at the ratio of 1 new TIP ordinary share for each exercised Warrant), admitted to trading on the Eletronic Stock Market of Borsa Italiana S.p.A., without nominal value, having regular issuance and the same features as TIP ordinary shares outstanding at the issue date (the "Conversion Shares").

As a result of the mentioned subscriptions the capital increase related to the Fifth Exercise Period (including the premium) amounts to 66,957,227.47 and Tamburi Investment Partners S.p.A. share capital will be of Euro 95,877,236.52 represented by no. 184,379,301 ordinary shares without nominal value.

The 365.201 Warrant not exercised within the deadline of June 30, 2020 are expired, becoming void in all respects.

Pursuant to the Warrants Regulation, the exercise of the Warrants will be effective, and therefore the Conversion Shares will be issued, by the tenth trading day following the end of the Fifth Exercise Period.
