Tamburi Investment Partners S.p.A. ("TIP" – tip.mi) gruppo industriale indipendente e diversificato, specializzato nell'investimento attivo in eccellenze industriali, quotato al segmento Euronext STAR Milan di Borsa Italiana S.p.A. ha acquisito il 50,7% di Investindesign S.p.A. (Investindesign), società che attualmente detiene il 48,7% del capitale di Italian Design Brands S.p.A. (IDB), le cui azioni sono da questa mattina quotate sull'Euronext Milan, mercato regolamentato organizzato e gestito da Borsa Italiana.

IDB è la capogruppo operativa di un polo italiano dell'arredamento e del design attivo - tramite numerose partecipazioni in aziende operanti in tali settori - nella produzione di articoli di alta gamma, con prestigiosi marchi tra cui Gervasoni, Meridiani, Davide Groppi, Flexalighting, AXOLight, Very Wood, Saba, Gamma Arredamenti, Dandy Home, Miton e Binova. Il gruppo inoltre include due società - Cenacchi International e Modar - specializzate nel luxury contract con alcune delle più prestigiose maison del fashion internazionale.

I prodotti realizzati dalle società partecipate da IDB sono distribuiti e venduti da terzi tramite circa 4.500 punti vendita.

Nel 2022 il gruppo IDB ha raggiunto un fatturato pro forma (includendo per l'intero esercizio anche il totale del fatturato delle società acquisite nel corso dell'anno) di circa 266 milioni, con un Ebitda di oltre 49 milioni.

Il progetto del gruppo IDB, avviato nel 2015 su iniziativa di Private Equity Partners e di Paolo Colonna, unitamente a Giovanni e Michele Gervasoni, con l'obiettivo di dare vita ad una piattaforma di aggregazione nel frammentato settore della produzione di arredi e luci Made in Italy, si è sviluppato essenzialmente tramite acquisizioni, conta attualmente 650 persone e nel 2022 ha esportato il 75 % circa del fatturato.

Il top management del gruppo IDB è composto da Andrea Sasso (Presidente e Amministratore Delegato) e da Giorgio Gobbi (Managing Director), che hanno gestito la crescita del gruppo e che manterranno le rispettive cariche.

TIP, facendo leva sulle proprie competenze, in particolare nei settori industriali caratterizzati da clientela high end, unite alla ormai comprovata capacità di dare vita e far sviluppare ed affermare leader di mercato, ha acquisito una quota di rilievo nel gruppo proprio con l'obiettivo di rafforzarlo patrimonialmente e di accelerarne ulteriormente la crescita, elementi essenziali in un comparto ancora molto frammentato ma con un notevole potenziale di sviluppo sia strategico che commerciale, visto il peso che ha sull'intera filiera dell'export Made in Italy.

TIP per l'acquisto del 50,7% del capitale di Investindesign ha investito 72 milioni di euro, attribuendo ad IDB un valore del capitale economico (c.d. equity value) pari a euro 220 milioni.

TIP inoltre ha la possibilità, per sé o anche per persone fisiche e/o giuridiche da nominare, di acquisire fino al 15 luglio 2023, a parità di condizioni dell'acquisizione del 50,7%, un ulteriore 20% del capitale di Investindesign dagli attuali soci di Investindesign. Tale ulteriore partecipazione verrà offerta agli azionisti di Asset Italia S.p.A.

FINALIZED THE ENTRY INTO ITALIAN DESIGN BRANDS GROUP

Tamburi Investment Partners S.p.A. ("TIP" - tip.mi) independent and diversified industrial group, specialized in active investment in excellent industrial companies, listed on the Euronext STAR Milan segment of Borsa Italiana S.p.A. has acquired 50.7% of Investindesign S.p.A. (Investindesign), a company that currently holds 48.7% of the share capital of Italian Design Brands S.p.A. (IDB), whose shares have been listed since this morning on Euronext Milan, a regulated market organized and managed by Borsa Italiana.

IDB is the operating parent company of an Italian furniture and design hub active - through numerous investments in companies active in these sectors - in the production of high-end items, with prestigious brands including Gervasoni, Meridiani, Davide Groppi, Flexalighting, AXOLight, Very Wood, Saba, Gamma Arredamenti, Dandy Home, Miton and Binova. The group also includes two companies - Cenacchi International and Modar - specialized in the luxury contract with some of the most prestigious international fashion maison.

The products made by IDB's investee companies are distributed and sold by third parties through approximately 4,500 points of sale.

In 2022 the IDB group achieved a pro forma turnover (including for the full year also the total turnover of the companies acquired during the year) of approximately 266 million, with an Ebitda of over 49 million.

The IDB group project, launched in 2015 on the initiative of Private Equity Partners and Paolo Colonna, together with Giovanni and Michele Gervasoni, with the aim of creating an aggregation platform in the fragmented sector of furniture and lighting production Made in Italy, has grown essentially through acquisitions, currently has 650 people employed and in 2022 exported around 75% of its turnover.

The top management of the IDB group is made up of Andrea Sasso (President and Chief Executive Officer) and Giorgio Gobbi (Managing Director), who have managed the growth of the group and who will maintain their respective positions.

TIP, leveraging on its own skills, particularly in the industrial sectors characterized by high-end customers, combined with the already proven ability to create, develop and accomplish market leaders, has acquired a significant share in the group with the precise goal to financially strengthen it and to further accelerate its growth, essential elements in a sector that is still very fragmented but with considerable potential for both strategic and commercial development, given the weight it has on the entire Made in Italy export chain.

TIP invested Euro 72 million to purchase the 50.7% of the capital of Investindesign, attributing to IDB an equity value of Euro 220 million.

TIP also has the possibility, for itself or also for natural and/or legal persons to be named, to acquire up to 15 July 2023, under the same conditions of the acquisition of 50.7%, a further 20% of the capital of Investindesign from the current shareholders of Investindesign. This additional stake will be offered to the shareholders of Asset Italia S.p.A.
