Cessazione Del Patto Parasociale Amplifin – Asset Italia

Tamburi Investment Partners S.p.A. ("TIP" – MI) – investment /merchant bank indipendente e diversificata quotata al segmento STAR di Borsa Italiana – comunica che il patto parasociale in essere tra Asset Italia 2 S.r.l., società controllata da Asset Italia S.p.A., da un lato, e Amplifin S.p.A., socio di controllo di Ampliter S.r.l., controllante di Amplifon S.p.A., dall'altro, è in scadenza il 27 settembre 2020 e non se ne prevede il rinnovo. Saranno pertanto assegnate circa 6.100.000 azioni Amplifon (di cui il 21% circa di spettanza di TIP) ai soci di Asset Italia S.p.A. che hanno partecipato all'investimento in Ampliter. Il numero definitivo di azioni assegnate sarà determinato a giorni.

L'operazione viene condotta in totale armonia e condivisione con Amplifin e Ampliter. Ad esito dell'operazione TIP non prevede di cedere le azioni Amplifon ottenute.

All'operazione parteciperanno anche le Società d'Amico Società di Navigazione S.p.A. e Gruppo Ferrero S.p.A. (riconducibili a membri del Consiglio di Amministrazione di TIP), nonché Asset Italia (società collegata di TIP), che costituiscono parti correlate di TIP. Come già previsto il Consiglio di Amministrazione di TIP ha ritenuto di qualificare l'operazione come operazione di maggiore rilevanza e pertanto la stessa sarà oggetto di apposito documento informativo, soggetto a pubblicazione nei termini di legge. Il Comitato Controllo e Rischi e Parti Correlate di TIP ha espresso il proprio motivato parere sull'operazione e ha ritenuto sussistente un effettivo interesse della Società a che l'operazione abbia luogo nonché ha riscontrato la convenienza e sostanziale correttezza delle condizioni dell'operazione medesima.

L'esecuzione dell'operazione è prevista per il 24 settembre 2020.

Termination of the shareholders' agreement Amplifin – Asset Italia

Tamburi Investment Partners S.p.A. ("TIP" – MI) – independent and diversified investment /merchant bank listed on the STAR segment of Borsa Italiana – announces that the shareholders' agreement between Asset Italia 2 S.r.l., company controlled by Asset Italia S.p.A., on one side, and Amplifin S.p.A., controlling shareholder of Ampliter S.r.l., controlling company of Amplifon S.p.A., on the other side, will expire on September 27, 2020 and the renewal is not foreseen. Therefore approximately 6,100,000 Amplifon shares (of which about 21% referable to TIP) will be assigned to the shareholders of Asset Italia S.p.A. that have taken part to the investment in Ampliter. The final number of shares will be determined in the next few days.

The transaction is conducted in total harmony and agreement with Amplifin and Ampliter. At the end of the transaction TIP does not foresee to sell the Amplifon shares received.

d'Amico Società di Navigazione S.p.A. and Gruppo Ferrero S.p.A. (companies referable to members of the Board of Directors of TIP) will take part to the transaction, as well as Asset Italia (associated company of TIP), which are related parties of TIP. As already foreseen the Board of Directors of TIP has considered to qualify the transaction as a transaction of major importance and therefore it will be subject of a specific information document, subject to publication in accordance with the law. The Control and Risks and Related Parties Committee of TIP has expressed its reasoned opinion on the transaction and has considered that there is an effective interest of the Company in the execution of the transaction and has also found convenient and substantially correct the conditions of the transaction.

The execution of the transaction is foreseen on September 24, 2020.
