Confirmation of Dispatch of Bidder’s and Target’s Statement

Tamawood Limited (ASX: TWD) ( Tamawood ) refers to its bidder’s statement dated 6 April 2022 ( Bidders Statement ) in respect of its all scrip takeover offer for 100% of the fully paid shares in AstiVita Limited (ASX: AIR) ( AstiVita ).

A copy of the Bidder’s Statement has been sent to each person who held securities in the bid class as at the date set by Tamawood pursuant to section 633(2) of the Corporations Act 2001 (Cth) ( Corporations Act ) ( AstiVita Shareholder ), as required by item 6 of section 633(1) of the Act.

The Company confirms that it has sent notices pursuant to items 7 and 9 of section 633(1) of the Corporations Act to AstiVita and ASIC respectively.

Tamawood also sent each AstiVita Shareholder:

1. Bidder’s Statement and acceptance form; and

2. AstiVita’s Target’s Statement dated 8 April 2022.

Tamawood Limited ACN 010 954 499 ( Tamawood ) gives notice in accordance with items 7, and 9 of section 633(1) of the Corporations Act 2001 (Cth) ( Corporations Act ) that it has sent, as required by item 6 of section 633(1) of the Corporation Act, Tamawood’s bidder’s statement dated 6 April 2022 and offer in relation to its off-market takeover bid for all of the ordinary shares in AstiVita to all AstiVita shareholders registered on the record date of 5:00pm (AEST) on 6 April 2022 .

Tamawood has also sent a copy of:

1. Bidder’s Statement and acceptance form;

2. AstiVita’s Target’s Statement dated 8 April 2022,

which are attached to this Notice.

An announcement has also been made on the Australian Securities

Exchange.

The offer is dated 12 April 2022.
