PROPOSED ISSUE OF SECURITIES

The Company has the capacity to issue up to 30,686,075 ordinary shares under Listing Rule 7.1. Under Listing Rule 7.1A the Company has the availability to issue 52,012,939 shares.

The Company has secured commitments for the placement of 30,686,075 ordinary shares by way of a placement to sophisticated and professional investors, in accordance with Listing Rule 7.1.

Shares issued will rank equally with all other existing shares.

The issue price of the shares is 0.15 of one cent per share

The purpose of the issue is to provide funds for ongoing resource development and administration costs.
