GRAYDON FLATT DISPOSAL OF SHARES

CALGARY, ALBERTA (May 16, 2025) – Graydon Flatt (“Graydon”) has disposed of 2,262,850 common shares (the “Common Shares”) in the capital of Strategem Capital Corporation (“Strategem” or the “Company”) to SKKY Capital Corporation Limited (“SKKY”) and Crescentwood Capital Corp. (“Crescentwood”) pursuant to private transactions which are exempt from the take-over bid requirements pursuant to section 4.2(1) of National Instrument 62-104.

Disposal of Shares

Graydon disposed of the Common Shares at a deemed price of $0.27 per Common Share.

Prior to the disposition, Graydon held 3,155,000 common shares in the capital of the Company, which was equal to 34.6% of the issued and outstanding common shares of the Company.

Following the disposition, Graydon holds 892,150 common shares in the capital of the Company, which is equal to 9.8% of the issued and outstanding common shares of the Company.
